Data Processing Addendum

1.Purpose
This Data Processing Addendum ("DPA") forms part of the agreement between Outsentia LLC ("Processor") and the client ("Controller") and governs the processing of personal data by Outsentia LLC on behalf of the client in connection with the delivery of remote staffing services.
2.Definitions
Controller: The client practice that determines the purposes and means of processing personal data.
Processor: Outsentia LLC, which processes personal data on behalf of the Controller.
Personal data: Any information relating to an identified or identifiable individual.
Processing: Any operation performed on personal data, including collection, storage, use and disclosure.
Data subject: The individual to whom personal data relates.
3.Scope of processing
Outsentia LLC processes personal data solely for the purpose of providing remote staffing services as described in the applicable client agreement. We process only the categories of data necessary to fulfil our obligations.
4.Processor obligations
Outsentia LLC agrees to:
- Process personal data only on the documented instructions of the Controller
- Ensure personnel authorised to process personal data are bound by confidentiality obligations
- Implement and maintain appropriate technical and organisational security measures
- Assist the Controller in responding to data subject rights requests to the extent reasonably practicable
- Delete or return all personal data to the Controller upon termination of the agreement
- Provide the Controller with information necessary to demonstrate compliance with this DPA
5.Data subject rights
Where a data subject submits a request to Outsentia LLC, we will promptly notify the Controller and provide assistance necessary to respond within the applicable timeframe.
6.Sub-processors
Outsentia LLC may engage sub-processors to assist in the provision of services. All sub-processors are bound by data processing agreements no less protective than this DPA.
7.International transfers
Where personal data is transferred outside of the United States, Outsentia LLC will ensure appropriate safeguards are in place in accordance with applicable data protection law.
8.Security measures
Outsentia LLC implements appropriate technical and organisational measures including encryption, access controls, continuous monitoring and regular security assessments as part of our SOC 2 programme.
9.Breach notification
In the event of a personal data breach, Outsentia LLC will notify the Controller without undue delay and, where feasible, within 72 hours. Notification will include the nature of the breach, categories and approximate number of data subjects affected, likely consequences and measures taken.
10.Term and termination
This DPA remains in effect for the duration of the applicable client agreement. Upon termination, Outsentia LLC will delete or return all personal data processed under this DPA unless retention is required by applicable law.
